01Who we are

Loep is operated by ADJL Capital LLC (the operator). These terms are an agreement between you and the operator. Write to laskowskidanny@gmail.com.

02The service

Loep is a research instrument for individual investors. It reads public filings, public records and licensed provider data, does arithmetic on them by rules that are printed beside the result, and plots what it finds: a property scanner, market research from SEC filings and market data, a set of indicators for TradingView, and a business analyst that is not yet built and takes a waitlist.

It is not a brokerage, not an investment adviser, not a data vendor and not a party to any decision made with it. Nothing on Loep is investment, tax or legal advice, and nothing on it is a recommendation to buy, sell or hold anything. The disclosures page says this in full, instrument by instrument; these terms rely on it.

03Accounts

You may use Loep if you are at least 18 and able to enter into a contract. An account is for one person. Give a working email address, because confirmations, receipts and password resets go there. Keep your password to yourself, and tell Loep promptly if you think somebody else has it; you are responsible for what is done through your account until you do.

Loep may suspend or close an account that is being misused. If an account is closed for any reason other than misuse, you are told why.

04Plans, the trial and the meter

There are two plans. The pricing page states the current numbers; they come from the same definition the meter reads, so the two cannot disagree.

• Explorer is free and stays free. It is metered by the day.
• Loep Pro is $29 a month, in US dollars, and is metered by the hour. It includes the indicators, saving, export and the watchlist.
• Every new account starts with 7 days on Loep Pro, with no card. When the trial ends the account falls to Explorer, not to nothing, and nothing you saved is removed.

A quota is counted over a rolling window. When it is used up, the next lookup of that kind is refused with the time the window reopens; that is the meter working, not a fault. Loep may change a plan's limits or features; a change that reduces what a paid plan includes is announced before it applies to you.

05Billing and cancellation

• Monthly, in advance. Loep Pro is billed at the start of each monthly period and renews until you cancel. Payment is taken by Stripe; card details are entered on Stripe's pages and never reach Loep.
• Cancel any time. The billing portal, reached from the account page, cancels the subscription. Access to Loep Pro continues to the end of the period already paid for, and the account then falls to Explorer.
• Refunds are at the operator's discretion. A cancelled month is not refunded pro rata as a rule. If Loep was unavailable for a material part of a period you paid for, write in and say so; that is the kind of case a refund is for.
• A failed payment is retried by Stripe on its own schedule. If it keeps failing, Stripe ends the subscription and the account falls to Explorer.
• Price changes are announced by email before the renewal they apply to. If you do not want to pay the new price, cancel before that renewal.
• Taxes are added where the law requires them, and appear on the Stripe invoice.
• Promotion codes, where offered, apply at checkout on the terms stated with the code.

06Acceptable use

Loep is for your own research. You may not:

• share an account, or use somebody else's;
• scrape, harvest, crawl or bulk-download the site, its sheets or the data behind them, or reach its functions with anything other than the site itself;
• resell, sublicense, republish or redistribute Loep's output or the provider data in it, or offer it to anybody else as a service;
• work around a quota, a plan gate or a rate limit, by any means;
• copy Loep, or attempt to derive its underwriting model, its indicator scripts or its rules, for a competing product;
• probe, scan or test the security of the site except as invited in security.txt;
• use Loep to break the law, or to help anybody else do so;
• upload or type in anything unlawful, or anything you have no right to.

The quotas exist so that Loep can be offered at a flat price. Treating them as an API to be drained is misuse, and the account is closed for it.

07What belongs to whom

The site, the software, the underwriting model, the indicator scripts, the rules, the writing and the design belong to the operator or to the people it licensed them from. Using Loep does not transfer any of it to you.

What you put in stays yours: the inputs you set, the notes you type, the surveys you save. You grant the operator only the permission it needs to store them, show them back to you and run the service.

The figures and notes Loep produces for you are yours to use in your own research and your own decisions. Provider data inside them stays subject to the providers' terms, below.

08The indicators

An indicator on Loep is a TradingView script, invite-only, that you add to your own TradingView charts. Access is granted by hand to the TradingView username you give, for as long as you are on Loep Pro or in the trial, and can be withdrawn when you are not. You may use a script on your own charts. You may not share, republish, sell or attempt to decompile it, or grant access to anybody else. TradingView's own terms govern TradingView.

09Data from other people

Loep takes property records, market data, filings, public tables and map data from third parties. Each is named, with what it supplies and what its license asks, under Data sources on the disclosures page. Their terms flow through to you:

• you may not extract, redistribute, resell or build a dataset from provider data shown on Loep;
• attributions that a license requires, such as the OpenStreetMap notice on the map and beside geocoded results, stay where they are;
• a provider may change, delay or withdraw what it supplies, and a figure that could not be read is shown as a gap, never as a zero.

Loep selects its sources carefully and does not control them. It does not warrant that anything they supply is accurate, current or complete.

10Research, never advice

Every figure on Loep is software output on data you supplied or a provider reported. It does not know your circumstances and forms no view about them. Verify anything you intend to act on, and take your own advice. The disclosures page sets out, instrument by instrument, exactly what each result is and is not.

11Availability and changes to the service

Loep does not promise to be available, uninterrupted or free of errors. Providers go down, and when one does the sheet says what could not be read. Loep may change, add, suspend or withdraw any part of the service, and tries not to do so without warning to the people relying on it.

12Disclaimers

Loep is provided as it is and as available. To the fullest extent the law allows, the operator excludes every warranty that is not written down here, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement, and any warranty that a figure, a signal, a verdict or a note is correct.

13Limitation of liability

To the fullest extent the law allows, the operator is not liable for investment losses, lost profits, lost opportunity, lost data, or any indirect, incidental, special or consequential loss arising from your use of Loep or your reliance on anything it shows, however it arises.

Where liability cannot be excluded, the operator's total liability to you for everything arising out of these terms or your use of Loep in any twelve-month period is limited to the amount you paid to Loep in that period, or $29 if you paid nothing.

Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

14Indemnity

If your use of Loep in breach of these terms causes a claim against the operator, you agree to cover the operator's reasonable costs of dealing with it.

15Termination

You can end this agreement at any time by cancelling any subscription and asking for the account to be deleted, as the privacy page describes. The operator can suspend or end it for a breach of these terms, and can end it otherwise with reasonable notice by email. Money already paid for a period is handled as Billing and cancellation says. Sections that by their nature outlast the agreement, including what belongs to whom, the disclaimers, the limitation of liability and the indemnity, survive it.

16Governing law

These terms are governed by the law of [jurisdiction to be confirmed], and any dispute under them is brought in the courts there. The bracketed text is a placeholder: it is shown as one rather than filled with a guess, and it is replaced when counsel confirms it.

17Changes to these terms

The operator may change these terms. The effective date at the top changes with them, and using Loep after that date accepts them. A change that materially affects account holders is emailed before it applies.
